Our team has recognised expertise and know-how in the fields of private equity, mergers and acquisitions and corporate law, in a national and international context. We advise and support our clients on a daily basis and in a reactive manner at all key stages of the life of their companies by providing them with pragmatic and creative solutions for their various projects.

The team is composed of a dozen professionals with a strong economic, financial and international culture who work in close collaboration with the other teams of the firm to offer a multidisciplinary and global approach.

MERGERS & ACQUISITIONS

Our team is specialised in equity transactions, including build-ups, sales or transfers of companies or businesses, business combinations, strategic partnerships, joint ventures, restructurings or reorganisations, carve-outs.

We act at all stages of these operations:

Legal and tax structuring (in particular tax consolidation, Dutreil pact, IFI)
Audits or VDD in legal, tax and social matters
Management of the transactional process (from the first expression of interest to the closing)

PRIVATE EQUITY / VENTURE

Our team has developed established expertise in the private equity business:

Seed and venture capital packages (seed money, BSA Air, series A and later rounds, BSPCE, stock options and free shares)
Development capital and LBO, MBO/MBI, OBO: legal and tax structuring (structure memorandum, step plans), governance rules, preference shares, management packages (profit-sharing, capital gains retrocession)
Review and negotiation of financing contracts (senior, mezzanine, security, etc.)
Secondary market (sale of shares whether of funds or funds of funds, etc.)
Marketing in France of UCITS and FIA units (retail, AMF regulatory).

We work on the fund management team side as well as on the founders’ and managers’ side.

CORPORATE LAW

Our team has developed a particular expertise in corporate law:

Share contributions, mergers, demergers, partial contributions of assets
Legal secretarial services: approval of accounts, share capital operations, issue of composite securities, etc.
Monitoring and management of intra-group relations: treasury agreements, service contracts, etc.
Maintenance of corporate records: share movements and shareholder accounts, boards and meetings

We work closely with our tax and employment law teams.

CONTRACT LAW

Our team is involved on a daily basis in contract and commercial law:

Review and negotiation of all types of contracts
French or international contracts
Commercial contracts, distribution contracts, commercial leases, etc.
Concession agreements, joint ventures, consortia, consortium agreements (PPP, BOT, DBOM, etc.)
