Yards advises Ekstend Group on the acquisition of the communication agencies Sweet Punk and Be Brandon

The law firm Yards has advised Ekstend Group, a marketing consulting group based in Marseille, on the strategic acquisition of the communication agencies Sweet Punk, based in Montpellier and specialised in content creation, and Be Brandon, based in Paris and specialised in operational marketing (especially at points of sale).

The founders of the targets have all become partners in the new entity and remain operational within each agency.

Yards was involved in the audits, the drafting and negotiation of the contracts relating to the acquisition of each target and the reinvestment of the founders, then in the negotiation and implementation of the senior bank financing.

Our teams also assisted Ekstend Group in the financing of the transaction by a banking pool composed of CIC, Caisse d’Epargne and Crédit du Nord.

The Yards team was composed of Jean-Philippe Jacob, Maud Gendron and Julia Faure on the M&A and financing aspects, Eric du Peloux on the management package aspects, François Morazin and Jeanne-Eve Lepinay on the tax aspects and Christine Hillig-Poudevigne, Lucas Aubry and Sara Ouarti on the social aspects.

The sellers were advised by Alexandre Diehl of Lawint for Sweet Punk and by Géraud Riom of Riom Lagier for Be Brandon.
