Financing

Our team has extensive experience in advising sponsors and borrowers in LBO, acquisition and corporate finance transactions.

In this context, we work closely with the finance department and/or investment bank to structure, negotiate and draft all types of financing, security, subordination and ranking agreements across a wide range of financings: senior, mezzanine, unitranche, bond issues, junior/campaign loans, etc.

We also draft the structure memorandum and sign the legal opinions required by the banks and generally manage the entire process of gathering, drafting and delivering the conditions precedent to the funding.

We are therefore involved in many types of one-off financing operations  as well as recurring operations during the life of a financing (waivers, amendments, refinancing, successive drawdowns in the context of external growth, etc.) and, more generally, on a day-to-day, reactive basis at all key stages of our clients’ development.
